Eigentumsvorbehalt

Die Vereinbarung eines einfachen Eigentumsvorbehalts ist zulässig und kann vom Eigentümer in Form einer Herausgabeklage geltend gemacht werden, sofern die Ware noch erhalten und identifizierbar ist.

Sicherungsübereignung

Die Sicherungsübereignung ist zulässig und bedarf der Schriftform.

Pfandrecht

Pfandrechte können sowohl an materiellen Gütern (gage) als auch an immateriellen Rechten (nantissement) bestehen. Beides muss schriftlich vereinbart werden. Bei der Gage muss eine Übertragung oder Eintragung des Pfandgegenstandes erfolgen, damit das Pfand Dritten entgegengehalten werden kann.

Das kaufmännische Pfandrecht als Sonderform bei Kaufleuten, unterliegt besonderen Gesetzen. Gegenstand des Nantissements können auch zukünftige Forderungen sein. Diese können auch gegen Dritte gehalten werden.

Hypotheken/Grundschulden

Eine Vertragshypothek gewährt ein Recht auf vorzugsweise Befriedigung aus dem Grundstück und wird durch notarielle Form und Grundbucheintrag begründet.

Das französische Recht kennt keine Grundschulden. Vorzugsrechte begründen ebenfalls ein Recht auf bevorrechtigte Befriedigung und entstehen von Gesetzes wegen.

 

Conservation du titre

La convention d’une simple réserve de propriété est admissible et peut être invoquée par le propriétaire sous la forme d’une action en restitution, à condition que les biens soient encore conservés et identifiables.

Transfert à titre de garantie

Le transfert de propriété par voie de sûreté est autorisé et nécessite la forme écrite.

Les privilèges peuvent porter à la fois sur des biens corporels (gage) et sur des droits incorporels (nantissement). Les deux doivent être convenus par écrit. En cas de gage, un transfert ou un enregistrement de l’objet gagé doit avoir lieu pour que le gage soit opposable aux tiers.

Le privilège commercial, en tant que forme spéciale avec les commerçants, est soumis à des lois spéciales. L’objet du nantissement peut également être des créances futures. Celles-ci peuvent également être retenues contre des tiers.

Hypothèques/Dettes foncières

L’hypothèque conventionnelle confère un droit de satisfaction préférentiel sur le bien immobilier et est établie par la forme notariée et l’inscription au registre foncier.

Le droit français ne reconnaît pas les charges foncières. Les droits préférentiels confèrent également un droit à une satisfaction préférentielle et naissent de plein droit.

 

Retention of title

The agreement of a simple retention of title is permissible and can be asserted by the owner in the form of an action for surrender, provided that the goods are still preserved and identifiable.

Transfer by way of security is permissible and must be in writing.
