Nach dem Handelsvertreterrecht vermittelt der Handelsvertreter Geschäfte im Namen und für Rechnung eines anderen und handelt dabei als selbständiger Gewerbetreibender auf Provisionsbasis. Der Handelsvertreter muss in das Handelsvertreterregister eingetragen sein, wenn er dauerhaft in Frankreich tätig ist. Im Falle der Beendigung des Handelsvertretervertrages hat der Handelsvertreter Anspruch auf Ausgleich. Die Richter sprechen in der Regel einen Ausgleich in Höhe von zwei Bruttojahresprovisionen zu, sofern der Vertrag nicht durch Verschulden des Vertreters beendet wurde. In Frankreich gibt es auch den sogenannten voyageur representant placier (Verkaufsvermittler), der für Rechnung eines oder mehrerer Arbeitgeber Geschäfte abschließt und den Schutz des französischen Arbeitsrechts genießt. Schließlich gibt es noch die Vertragshändler, die als selbständige Gewerbetreibende in eigenem Namen und auf eigene Rechnung handeln.
Distribution law
Under commercial agency law, the commercial agent brokers business on behalf of and for the account of another, acting as an independent trader on a commission basis. The commercial agent must be entered in the commercial agent register if he/she is permanently active within France. In the event of termination of the agency contract, the commercial agent is entitled to compensation. Judges generally allocate compensation in the amount of two gross annual commissions, provided that the contract was not terminated through the agent’s fault.
In France, there is also the so-called voyageur representant placier (sales intermediary), who concludes transactions for the account of one or more employers and benefits from the protection offered by French labour law.
Finally, there are authorised dealers, who are independent traders who act in their own name and on their own account.
Droit de la distribution
En vertu du droit de l’agence commerciale, l’agent commercial négocie des affaires au nom et pour le compte d’autrui, agissant en tant que commerçant indépendant sur la base d’une commission. L’agent commercial doit être inscrit au registre des agents commerciaux s’il exerce une activité permanente en France. En cas de rupture du contrat d’agence, l’agent commercial a droit à une indemnité. Les juges allouent généralement une indemnité d’un montant égal à deux commissions annuelles brutes, à condition que le contrat n’ait pas été résilié par la faute de l’agent. En France, il existe également ce que l’on appelle le voyageur représentant placier, qui conclut des transactions pour le compte d’un ou plusieurs employeurs et bénéficie de la protection offerte par le droit du travail français. Enfin, il y a les concessionnaires, qui sont des commerçants indépendants qui agissent en leur propre nom et pour leur propre compte.
